Terms and Conditions for Automations Bae LLC

Effective Date: 3/23/2025

The following Agreement outlines the full terms and conditions governing the use of Automations Bae’s custom CRM and automation systems and software (“Software”), including its licensing, terms of service, privacy, content, limitations, dispute resolution, and legal enforceability.

This Agreement includes:

This Agreement (this “Agreement”) is made and entered into by and between Automations Bae LLC, a company registered and existing in Freehold, New Jersey, USA, owned and operated by

Chenell Moniq'ue Jones, (hereinafter referred to as the "Company"), and the user identified as the client (hereinafter referred to as the "Client").

Thank you for selecting the Software offered by Automations Bae LLC (referred to as “Automations Bae,” “we,” “our,” or “us”). Automations Bae is a reseller of the Software platform HighLevel and other third-party integrated tools. Please review this Agreement thoroughly.

1. AGREEMENT OVERVIEW

This Agreement governs your use of the Software, including all content, integrations, updates, and new releases (collectively, the “Software”), and gives you specific rights and responsibilities. This Agreement incorporates by reference:

  • The Privacy Policy available at www.AutomationsBae.com

  • Any separate terms or documentation provided for our Software, including web/email activation forms, proposals, subscription confirmations, and project scopes

  • Third-party software terms and licenses incorporated into your subscription (e.g., HighLevel terms)

By accessing or using the Software, you agree to be bound by this Agreement.

2. LICENSE GRANT AND RESTRICTIONS

2.1 Ownership and Limited Rights

The Software and all accompanying documentation, systems, templates, automations, branding, and digital content are protected by copyright, trade secret, and other intellectual property laws. All rights, title, and interest in and to the Software—including but not limited to any customizations, configurations, backend structures, and integrations—remain the sole property of Automations Bae LLC.

By subscribing to and using the Software, the Client is granted a personal, limited, non-exclusive, non-transferable, revocable license to access and use the Software for internal business operations only, and solely during the term of the active subscription.

This license is conditional and will remain valid only if the Client:

  • Has fully paid all applicable subscription or service fees

  • Abides by all terms of this Agreement

  • Uses the Software in accordance with local, state, federal, and international laws

2.2 Restrictions

Under this Agreement, the Client may not:

  • Sub-license, re-license, rent, lease, resell, share, or otherwise provide access to the Software or its components to third parties without express written permission from Automations Bae LLC

  • Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, extract code from, or create derivative works based on any part of the Software

  • Use the Software as a platform to build or offer competing services, products, systems, or applications in any market segment

  • Share login credentials or Software access with unauthorized users or across multiple business entities without proper licensing tiers

  • Remove, alter, or obscure proprietary notices, trademarks, or copyright attributions displayed within the Software

All rights not expressly granted to the Client in this Agreement are reserved by Automations Bae LLC. Unauthorized use, duplication, or redistribution of the Software in any form is strictly prohibited and will be considered a material breach of this Agreement.

2.3 Violations

Violation of these license restrictions shall result in immediate suspension or termination of account access and may subject the Client to civil and/or criminal liability. Automations Bae LLC reserves the right to seek injunctive relief, damages, attorney’s fees, and any other remedies permitted by law in response to such breach.

By continuing use of the Software, the Client acknowledges and agrees to abide by all terms outlined in this License Grant and Restrictions section.

3. PAYMENT METHOD, CANCELLATIONS, REFUNDS, AND AUTO-RENEWAL

The Software and related services offered by Automations Bae LLC are licensed and delivered on a recurring subscription basis. These terms apply universally to all subscription-based users, unless otherwise specified in a written agreement signed by both the Client and Automations Bae LLC.

All payments are to be made in United States Dollars (USD). When you subscribe to any plan or service level offered by Automations Bae LLC, you agree that your subscription is not contingent upon the release of any future feature, update, or enhancement. No verbal or written public comments, product roadmap outlines, or feature requests—whether published or discussed by Automations Bae LLC—shall be interpreted as a promise, guarantee, or contract for delivery.

Subscriptions are billed in accordance with the plan selected at the time of purchase. Subscription term options may include monthly, quarterly, or annual billing cycles. Payment is due upfront, and access to the Software is not granted until full payment is successfully received and processed.

3.1 Payment Method

All subscription fees must be paid via a valid debit or credit card approved for electronic transactions. Automations Bae LLC does not accept physical checks, money orders, or cash payments.

By submitting your card information, you authorize Automations Bae LLC to charge your card on a recurring basis for the agreed billing cycle. Your card information is encrypted and securely managed in compliance with Payment Card Industry Data Security Standards (PCI DSS). Automations Bae LLC does not store full credit card numbers and only retains the last four digits of your card for identification and billing verification purposes.

You are responsible for ensuring that your payment method remains valid and up to date. If we are unable to process a payment due to expiration, insufficient funds, or declined authorization, your account may be suspended or terminated without notice until all outstanding amounts are paid in full.

3.2 Refunds

ALL PAYMENTS TO AUTOMATIONS BAE LLC ARE FINAL AND NON-REFUNDABLE.

We do not issue refunds or credits for:

  • Partially used or unused subscription periods

  • Account inactivity

  • Client dissatisfaction with system features

  • Cancellation after renewal has occurred

  • Service interruptions or downtime caused by third-party software dependencies

Once a subscription has been charged and processed, the Client forfeits the right to request or claim a refund for any reason. It is the Client's responsibility to manage their account, billing preferences, and renewal status.

3.3 Auto-Renewal

All subscription plans automatically renew at the end of each billing period (monthly, quarterly, or annually) at the then-current rate, unless you cancel your subscription at least five (5) business days prior to the renewal date.

You may cancel your subscription by submitting a written cancellation request via email to [email protected]. Cancellation requests must be received and acknowledged in writing by Automations Bae LLC. Cancelling your subscription will disable auto-renewal and prevent future charges but does not entitle you to a refund for time already billed.

Failure to cancel or update your subscription in a timely manner will result in the continuation of service and associated charges. Automations Bae LLC is not responsible for subscription charges incurred due to your failure to cancel or update billing preferences in advance.

By subscribing to our Software, you accept and agree to all billing, refund, and auto-renewal terms stated herein.

4. CONTENT

You, as the Client, are solely and fully responsible for all content, data, materials, and files that are uploaded, posted, transmitted, shared, or stored through your use of the Software provided by Automations Bae LLC. This includes, but is not limited to: text, documents, spreadsheets, graphics, photographs, videos, music, audio recordings, applications, code, and any other form of digital material (collectively referred to as "Content").

4.1 Legal Responsibility and Compliance

You agree to use the Software only in accordance with all applicable local, state, federal, and international laws. You represent and warrant that you have all necessary rights and permissions to use, upload, and distribute any Content shared through the Software. You further agree not to use the Software to:

  • Upload, store, or distribute any illegal, unauthorized, or harmful content

  • Violate any applicable law, regulation, or third-party right (including but not limited to intellectual property, privacy, and publicity rights)

  • Engage in or facilitate activities such as fraud, identity theft, harassment, impersonation, defamation, distribution of malware, or unauthorized surveillance

  • Upload content that contains viruses, worms, ransomware, spyware, or any other malicious or destructive code

  • Disseminate obscene, pornographic, abusive, threatening, hateful, harassing, violent, or otherwise objectionable material

  • Upload content that infringes on patents, copyrights, trademarks, trade secrets, or any other proprietary rights without proper authorization

4.2 Content Storage, Backup, and Loss

Automations Bae LLC does not guarantee the continued availability, integrity, or backup of your Content. You are solely responsible for maintaining independent backups and archiving your Content regularly. Automations Bae LLC shall not be held liable for any data loss, corruption, unauthorized access, or disclosure resulting from your failure to back up or secure your Content.

4.3 Content Monitoring and Enforcement

Automations Bae LLC does not claim ownership of the Content you upload; however, we reserve the right to review, monitor, flag, remove, disable access to, or take legal action against any Content or account that:

  • Violates this Agreement or applicable laws

  • Appears to be fraudulent, misleading, or abusive

  • Harms, threatens, or disrupts other users or the integrity of our systems

We may report suspected violations, including criminal conduct, to law enforcement agencies, regulatory bodies, or affected third parties.

4.4 No Liability for Client Content

Automations Bae LLC disclaims any and all liability for the content you or any third party upload to the Software. Under no circumstances will Automations Bae LLC be held liable for any loss, damage, claim, or expense arising out of or related to the Content, including but not limited to claims of infringement, defamation, data loss, or business interruption.

By using the Software, you acknowledge and agree to assume full legal responsibility for all Content under your control, whether submitted by you or by users authorized under your account.

5. MARKETING CAMPAIGNS – EMAILS AND COMMUNICATIONS

The Software provided by Automations Bae LLC includes features and tools that allow Clients to create, send, and manage various forms of communication, including email, SMS (text messages), voicemail drops, and other automated messaging functions. By using these tools, the Client agrees to comply with all applicable laws and regulations governing electronic communication, including but not limited to the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), the General Data Protection Regulation (GDPR), and any other local or international anti-spam and data privacy regulations.

5.1 Compliance Requirements

You agree that:

  • You will only send marketing communications to recipients who have provided express, opt-in consent to receive such messages.

  • You will maintain records of consent, and ensure that these contacts can be verified upon request.

  • Every marketing message sent using the Software must include a clear and accessible unsubscribe or opt-out link.

  • You are fully responsible for the accuracy of the sender name, subject line, and message content.

  • You will not misrepresent yourself, your company, your product or service, or the nature of the communication.

You are solely responsible for evaluating and testing each marketing campaign before launching. Automations Bae LLC is not liable for any outcomes resulting from misconfigured or improperly targeted campaigns.

5.2 Anti-Spam Policy

Automations Bae LLC maintains a zero-tolerance policy toward spam. You agree not to:

  • Send unsolicited bulk email or mass marketing messages (i.e., "spam")

  • Use purchased, rented, scraped, or third-party contact lists

  • Send communications to individuals or organizations that have not directly provided consent

Accounts that generate spam reports or complaints in excess of industry norms, or that trigger blacklisting or flagging by ISPs or carriers, will be suspended or terminated at the sole discretion of Automations Bae LLC. Repeated or egregious violations may result in permanent revocation of Software access and legal action.

5.3 Identity and Messaging Standards

You agree to represent your organization truthfully in all messages sent through the Software. Specifically:

  • The "from" field must accurately reflect your identity or your business name

  • The "subject line" must clearly relate to the content of the message and may not be misleading

  • Each message must include your valid business contact address (P.O. boxes are acceptable if properly registered)

If you are based in the United States, you must also comply with the relevant provisions of the CAN-SPAM Act requiring a valid, physical postal address in each message.

5.4 Unsubscribe Obligations

You agree to:

  • Include an opt-out mechanism in every marketing message

  • Honor all unsubscribe requests promptly (within 10 business days, or sooner if required by law)

  • Maintain an updated suppression list of recipients who have opted out

  • Refrain from contacting any person who has opted out, even after account termination

You may not:

  • Charge a fee to process unsubscribe requests

  • Require the recipient to provide any information beyond their email address

  • Require recipients to log in, complete surveys, or navigate multiple pages to unsubscribe

Failure to comply with unsubscribe requirements is considered a material breach of this Agreement and may result in account suspension or legal action.

5.5 Monitoring and Enforcement

Automations Bae LLC reserves the right to:

  • Monitor email delivery metrics, spam complaint rates, bounce rates, and unsubscribe activity

  • Suspend or restrict your messaging privileges without notice if abuse or violation of this Agreement is detected

  • Cooperate with regulatory or legal investigations related to violations of communication laws

We do not provide details on specific spam complaints due to privacy concerns. However, we will notify you of unusually high complaint levels or technical issues related to your campaigns.

By using the Software’s marketing features, you affirm your responsibility for all communication sent and received under your account, and agree to hold Automations Bae LLC harmless for any legal or regulatory consequences resulting from misuse of these features.

6. ADDITIONAL TERMS

By using the Software and services provided by Automations Bae LLC, the Client acknowledges and agrees to the following ongoing obligations and responsibilities:

6.1 Account Security and Responsibility

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your username, password, API keys, and any access tokens associated with the Software.

  • You must take reasonable measures to ensure that your credentials are not disclosed to unauthorized persons or shared among unlicensed users.

  • In the event of any suspected or actual breach of security, unauthorized access, or compromise of your account, you agree to notify Automations Bae LLC immediately via email at [email protected].

  • You are liable for all activity conducted through your account, whether authorized or unauthorized, until such breach is reported and action is taken by Automations Bae LLC to secure your account.

6.2 Communications and System Notices

Automations Bae LLC may, from time to time, be required by law or business necessity to send you important communications related to your subscription, system updates, legal notices, billing alerts, or compliance requirements.

  • You consent to receive these communications via email or by notice posted within the Software interface.

  • These communications are a required part of your subscription and may not be opted out of, as they relate to the operation, maintenance, or legal compliance of the Software.

  • You may, however, choose to unsubscribe from non-essential communications such as promotional updates, newsletters, or product announcements.

6.3 Software Updates and Feature Enhancements

Automations Bae LLC reserves the right to update, improve, modify, or enhance the Software at any time. These updates may include:

  • New tools or features

  • Security improvements

  • Bug fixes or performance optimizations

  • Integration with third-party platforms

By continuing to use the Software, you agree to accept all standard updates and improvements deployed to your account. These changes are made to ensure consistent service, security, and functionality across the user base. While most updates will be applied automatically, you may be required to take specific actions (e.g., refreshing credentials, enabling new permissions, or reviewing updated workflows) to maintain uninterrupted access to certain features.

Failure to adopt or comply with necessary updates may affect the performance and usability of the Software. Automations Bae LLC shall not be liable for any disruptions caused by the Client’s refusal or delay in implementing required updates.

7. DISCLAIMER OF WARRANTIES

7.1 GENERAL DISCLAIMER

The Client understands and agrees that the use of the Software, as provided by Automations Bae LLC, is entirely at the Client’s own risk. The Software and all associated services, platforms, content, data, reports, and integrations are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind.

To the fullest extent permitted by applicable law, Automations Bae LLC, including its affiliates, officers, employees, suppliers, contractors, licensors, and third-party service providers (collectively referred to as “Suppliers”), expressly disclaim all warranties, representations, guarantees, and conditions—whether express, implied, statutory, or otherwise—including but not limited to:

  • Implied warranties of merchantability

  • Fitness for a particular purpose

  • Title or non-infringement

  • Accuracy, timeliness, reliability, or completeness of data or content accessed through the Software

  • Security, functionality, or availability of the Software at all times

  • Any implied warranties arising out of usage or trade

Automations Bae LLC does not warrant that the Software will operate uninterrupted, be error-free, free of viruses or other harmful components, or that any identified issues can or will be corrected. Automations Bae LLC shall not be held liable for any delays, disruptions, or data loss resulting from system errors, cyberattacks, outages, force majeure, or third-party service interruptions.

If any implied warranty cannot be lawfully excluded, then to the extent permissible under applicable law, such warranties shall be limited in duration to a maximum of sixty (60) days from the date of your initial Software access.

7.2 LEGAL AND COMPLIANCE DISCLAIMER

Automations Bae LLC makes no representations or warranties that the use of the Software will comply with, or ensure your compliance with, any specific legal, regulatory, or industry standard requirements. This includes but is not limited to:

  • The Health Insurance Portability and Accountability Act of 1996 (HIPAA)

  • The Gramm-Leach-Bliley Act (GLBA)

  • The Sarbanes-Oxley Act (SOX)

  • The General Data Protection Regulation (GDPR)

  • The California Consumer Privacy Act (CCPA)

  • Or any other data protection, financial, consumer rights, advertising, or employment law

It is your sole responsibility to ensure that your use of the Software, your handling of data, and your implementation of automation workflows align with all applicable local, state, federal, and international regulations.

Automations Bae LLC shall not be held responsible for any direct, indirect, or consequential damages arising from regulatory non-compliance, misinterpretation of legal obligations, or reliance on Software features to meet legal standards.

Your continued use of the Software constitutes your explicit acceptance of these disclaimers and limits of liability.

8. LIMITATION OF LIABILITY AND INDEMNITY

8.1 LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, the entire liability of Automations Bae LLC, its affiliates, officers, employees, licensors, agents, contractors, and suppliers (collectively, the “Company Parties”) for any claims, losses, or damages arising out of or relating to this Agreement or the use or inability to use the Software shall be limited to the total amount you paid to Automations Bae LLC for the Software during the two (2) months immediately preceding the event that gave rise to the claim.

Under no circumstances shall Automations Bae LLC or the Company Parties be liable for any of the following types of damages:

  • Indirect, incidental, special, punitive, exemplary, or consequential damages

  • Loss of profits, revenue, data, customers, goodwill, or anticipated savings

  • Damages resulting from system downtime, interruption of business, data corruption, breach of security, or software incompatibility

  • Losses caused by errors in telecommunications, the internet, hosting providers, or service interruptions from third-party platforms

  • Damages resulting from your failure to follow system requirements or guidance issued by Automations Bae LLC

These limitations shall apply even if Automations Bae LLC has been advised of the possibility of such damages and regardless of the legal or equitable theory of liability.

This section sets forth the sole and exclusive remedy available to you in connection with any claim related to the Software, its performance, or your relationship with Automations Bae LLC.

8.2 INDEMNITY

You agree to indemnify, defend, and hold harmless Automations Bae LLC, its officers, employees, contractors, representatives, affiliates, successors, and agents (collectively, the “Indemnified Parties”) from and against any and all claims, liabilities, losses, expenses, damages, and costs, including reasonable attorney’s fees and court costs, arising out of or related to:

  • Your use or misuse of the Software

  • Any violation or alleged violation of this Agreement by you or any person accessing the Software under your account

  • Any content you submit, post, transmit, or distribute through the Software, including claims of infringement, defamation, or breach of privacy

  • Any violation of intellectual property rights, publicity rights, or confidentiality obligations related to materials you upload or distribute using the Software

  • Your use of content, assets, or proprietary information without proper authorization, including stolen, copied, or duplicated processes

  • Any breach of local, state, federal, or international law committed through the use of the Software

Automations Bae LLC reserves the right, at its own expense and in its sole discretion, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully with Automations Bae LLC in the defense of any such claim.

This indemnification obligation will survive the termination or expiration of this Agreement and your use of the Software.

By using the Software, you expressly acknowledge and accept the limitations of liability and indemnity provisions contained in this section.

9. CHANGES TO THIS AGREEMENT OR THE SOFTWARE

Automations Bae LLC reserves the right, at its sole discretion, to update, revise, or otherwise modify the terms and conditions of this Agreement at any time. Changes may reflect updates to the Software, changes in applicable law, new policies, or enhancements in our business operations.

Any such modifications to this Agreement will become effective upon notice to the Client. Notice may be delivered through one or more of the following methods:

  • Email communication to the Client’s registered email address

  • Posting of the revised Agreement on our website at

  • www.AutomationsBae.com

  • Notification within the Software user interface or client dashboard

It is your responsibility to regularly check for updates and to read any changes that are communicated to you. Continued use of the Software after the effective date of the modified Agreement constitutes your full acceptance of the revised terms.

Automations Bae LLC also reserves the right to enhance, modify, replace, or discontinue any portion of the Software at any time without liability. This includes, but is not limited to:

  • Adding or removing features and tools

  • Changing pricing, billing terms, or access plans

  • Updating integrations, APIs, workflows, or templates

  • Discontinuing support for certain software versions or third-party plugins

While we aim to notify users of material changes in advance whenever reasonably possible, we are not obligated to maintain any specific functionality, and we assume no liability for any inconvenience or loss resulting from changes or termination of services.

By continuing to use the Software after any such modifications or changes, you acknowledge and agree to be bound by the current version of this Agreement and all associated policies, guidelines, or amendments issued by Automations Bae LLC.

10. TERMINATION

Automations Bae LLC reserves the right to suspend or terminate this Agreement, including your access to the Software and all associated services, at any time and without prior notice, under the following conditions:

  • If you fail to comply with any terms, obligations, or restrictions outlined in this Agreement

  • If you breach the license grant or engage in unauthorized use, redistribution, or duplication of the Software

  • If your account is used in connection with fraudulent, illegal, or harmful activity

  • If you fail to make timely or full payment of any fees due

  • If you reject or opt out of receiving legally required electronic communications related to your subscription or the Software

Termination may also occur in accordance with the terms set forth in any applicable Client Services Agreement.

Upon termination:

  • You must immediately cease all use of the Software and any Automations Bae LLC systems, platforms, templates, assets, automations, integrations, or proprietary materials

  • All access credentials, login accounts, and user rights will be revoked without delay

  • All outstanding subscription fees and unpaid invoices become immediately due and payable

  • Any license or rights previously granted to you under this Agreement will be terminated

  • Automations Bae LLC is under no obligation to retain or export your data beyond any retention period disclosed in this Agreement or as required by law

Termination of this Agreement does not absolve you from financial responsibilities incurred prior to termination, nor does it waive Automations Bae LLC's right to seek compensation for damages or legal remedies.

The following sections will survive termination, regardless of the reason for cancellation or account closure: Section 1 (Agreement), Section 5 (Marketing Communications), Section 7 (Disclaimer of Warranties), Section 8 (Limitation of Liability and Indemnity), Section 9 (Changes), Section 10 (Termination), Section 11 (Governing Law), Section 12 (Dispute Resolution), and Section 13 (General Terms).

You acknowledge and agree that Automations Bae LLC shall not be liable to you or to any third party for any suspension, termination, deletion of data, or loss of access resulting from a termination that occurs under the terms of this Agreement.

11. GOVERNING LAW

This Agreement shall be governed by and interpreted under the laws of the State of New Jersey, USA. Venue for any legal action or arbitration shall be Monmouth County, NJ.

12. DISPUTES

Any dispute, claim, or controversy arising out of or related to this Agreement, the Software, or the services provided by Automations Bae LLC, including but not limited to issues concerning the validity, interpretation, breach, enforcement, or termination of this Agreement, shall be resolved exclusively by binding arbitration.

12.1 Binding Arbitration

You and Automations Bae LLC agree to waive the right to file a lawsuit in court or have a jury trial. Instead, all claims will be resolved through final and binding arbitration conducted by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

  • The arbitration shall be held in Monmouth County, New Jersey

  • A single arbitrator, experienced in SaaS and commercial contract law, shall preside over the arbitration.

  • The arbitrator’s decision shall be final, binding, and enforceable in any court of competent jurisdiction.

  • Each party shall bear its own legal fees and costs unless the arbitrator determines that one party is entitled to recovery of such fees based on applicable law or this Agreement.

12.2 Governing Law

This arbitration provision shall be governed by the Federal Arbitration Act (FAA). For all other purposes, including the substantive legal issues addressed during arbitration, the laws of the State of New Jersey shall apply, without regard to conflict of laws principles.

12.3 Small Claims Exception

Either party may choose to pursue a qualifying claim in small claims court in Monmouth County, New Jersey, if the dispute meets the court’s jurisdictional requirements. However, such proceedings must remain on an individual basis and cannot be transferred to a higher court or combined with other claims.

12.4 Injunctive Relief and Equitable Remedies

Notwithstanding anything in this section to the contrary, either party may seek injunctive relief, restraining orders, or other forms of equitable relief from a court of competent jurisdiction at any time to prevent actual or threatened harm, misuse of the Software, breaches of confidentiality, or infringement of intellectual property rights.

12.5 Waiver of Class Actions and Jury Trials

By agreeing to this arbitration provision, you and Automations Bae LLC:

  • Knowingly and voluntarily waive all rights to a trial by jury

  • Agree not to initiate or participate in any class action, collective action, or consolidated proceeding

  • Agree that all disputes shall be brought on an individual basis only

This Section 12 shall survive the termination, expiration, or cancellation of this Agreement and shall remain in effect regardless of the nature of the dispute or the relief sought.

13. GENERAL

This Agreement constitutes the entire and final understanding between you (the "Client") and Automations Bae LLC ("we," "us," or "our"), and supersedes all prior negotiations, representations, discussions, or agreements—whether oral or written—related to the subject matter herein.

13.1 Entire Agreement

No oral or prior written communications shall modify, amend, or otherwise affect the interpretation of this Agreement unless such modification is made in writing and signed by both parties. Any additional or conflicting terms contained in any purchase order, confirmation, or other correspondence issued by the Client shall be of no force or effect.

13.2 Severability

If any provision of this Agreement is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, that provision shall be removed and the remaining provisions shall remain in full force and effect as if the invalid or unenforceable portion had never been included.

13.3 No Assignment by Client

You may not assign, delegate, or transfer your rights, obligations, or licenses under this Agreement without the prior written consent of Automations Bae LLC. Any attempt to do so in violation of this section shall be considered null and void.

13.4 Assignment by Automations Bae LLC

Automations Bae LLC may assign or transfer this Agreement, in whole or in part, without notice or consent: (a) To any of our affiliated entities; (b) In connection with the sale, transfer, or disposition of all or substantially all of our business or assets; (c) As part of a corporate merger, reorganization, consolidation, or acquisition.

13.5 Waiver

No failure or delay by Automations Bae LLC in exercising any right, power, or privilege under this Agreement shall operate as a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.

13.6 Force Majeure

Automations Bae LLC shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, labor disputes, governmental actions, internet outages, service provider disruptions, or civil unrest.

This General section shall survive the termination, expiration, or cancellation of this Agreement and remain fully enforceable thereafter.

14. SNAPSHOT LICENSE AGREEMENT & TERMS OF USE

This section governs the use, licensing, and restrictions related to the proprietary system and marketing snapshots ("Snapshots") created, owned, and provided by Automations Bae LLC. These Snapshots are hosted exclusively on Automations Bae LLC’s private white-labeled Go HighLevel platform and are made available to Clients under specific licensing terms.

14.1 LICENSE GRANT

Upon purchase or activation, the Client is granted a personal, limited, non-exclusive, non-transferable, and revocable license

to access and use the purchased Snapshot solely within one HighLevel agency account for internal business operations. The license does not transfer any ownership rights or resale rights to the Client and is contingent on full compliance with this Agreement.

Two license models are available to the Client:

  1. Subaccount User License – Access is granted via Automations Bae LLC’s white-labeled HighLevel platform, where:

    • Clients receive complimentary onboarding to assist with setup

    • Clients receive free access to maintenance, support, and Snapshot system updates as they are released

    • Clients are not entitled to receive premium paid add-ons or upgrade modules unless purchased separately

  1. Agency Restricted License – Clients receive the Snapshot as a direct deployment into their own HighLevel agency instance.

    • Access is restricted by IP to prevent sharing, exporting, or transferring the Snapshot. This license:

    • Does not include onboarding, customer service, or technical support Does not include access to updates or future enhancements

    • Is provided "as-is" and is not eligible for any service-based add-ons

In both license models, Clients are prohibited from copying, reproducing, reselling, sublicensing, or distributing the Snapshot or its contents to any third party or agency.

14.2 TERMS & CONDITIONS OF USE

The Client agrees to the following terms as a condition of licensing:

  • Only Automations Bae LLC reserves the exclusive right to resell or redistribute any Snapshot. Clients are strictly prohibited from selling, sharing, gifting, leasing, licensing, or otherwise transferring any Snapshot to another individual or agency.

  • Purchase of a Snapshot grants the Client one agency license, which permits unlimited internal use within subaccounts tied to a single HighLevel agency account owned by the Client.

  • The license is tied exclusively to the HighLevel agency account used at the time of purchase. You may not migrate or apply this license to multiple agencies.

  • Any attempt to export, download, replicate, or transfer the Snapshot to other environments is a violation of this Agreement and will result in immediate termination of access without refund.

  • Due to the nature of digital goods and automated system delivery, all purchases are strictly non-refundable.

14.3 PROHIBITED USES

Clients agree not to engage in any of the following activities:

  • Reverse-engineering, copying, modifying, or adapting any part of the Snapshot

  • Claiming authorship, design, or authorship credits

  • Removing or altering branding or licensing information embedded in the Snapshot

  • Circumventing any technical restrictions or IP security protocols applied to the Snapshot

  • Creating derivative works or competing products based on any Automations Bae LLC Snapshot

Violations of this section will trigger immediate license termination, forfeiture of access, and potential legal action including pursuit of damages and injunctive relief.

14.4 INTELLECTUAL PROPERTY

All Snapshots, templates, workflows, written content, configurations, and associated tools are the sole intellectual property of Automations Bae LLC and are protected under United States copyright and trade secret laws. The Client’s use of the Snapshot under this license does not grant any ownership rights or licenses beyond what is explicitly stated.

14.5 LIMITATION OF LIABILITY

Automations Bae LLC provides the Snapshots on an "AS IS" and "AS AVAILABLE" basis. We make no guarantees regarding the performance, compatibility, or results derived from using the Snapshot. Automations Bae LLC shall not be liable for:

  • Any indirect, incidental, special, or consequential damages

  • Business interruption, loss of revenue, or loss of data

  • Any claims related to compatibility with third-party platforms or tools

  • Technical issues within the Client’s agency platform that hinder Snapshot functionality

The Client assumes all risks associated with the configuration, deployment, and use of the Snapshot.

14.6 INDEMNITY

The Client agrees to indemnify, defend, and hold harmless Automations Bae LLC, its directors, officers, employees, contractors, partners, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including attorneys’ fees) arising from:

  • Unauthorized use, reproduction, or distribution of the Snapshot

  • Breach of this Agreement or misuse of the Snapshot

  • Intellectual property violations caused by Client content added to the Snapshot

  • Misrepresentation or use of the Snapshot in ways not authorized by Automations Bae LLC

Automations Bae LLC reserves the right to assume exclusive legal defense in any matter subject to indemnification at the Client’s expense.

14.7 TERMINATION

Failure to comply with the licensing terms or restrictions will result in immediate license revocation without refund. Automations Bae LLC reserves the right to disable access to the Snapshot, revoke subaccount credentials, and seek legal action for misuse or theft.

Upon termination, the Client agrees to cease all use of the Snapshot and permanently delete any versions installed, copied, or stored in their systems. Continued use after termination constitutes willful infringement.

By purchasing or accessing any Snapshot product, the Client acknowledges full acceptance of the terms in this Agreement and agrees to be bound by all licensing, intellectual property, and usage restrictions outlined above.

15. ACCEPTANCE

This Agreement is accepted upon your subscription or continued use of the Software.
